In its decision 4A_19/2023, the Swiss Federal Supreme Court dismissed a jurisdictional objection based on an arbitration agreement which foresaw arbitration proceedings before an arbitral institution which had been dissolved since the conclusion of theoriginal contract. The decision provides guidance on the law governing the interpretation of pathological arbitration clauses under the New York Convention. In this context, the present case note analyzes how the law applicable to the substantive validity of the arbitration agreement may impact the interpretation of pathological arbitration clauses. In addition, the case note raises the question to what extent choice of law clauses should play a role beyond determining the law applicable to the validity of the arbitration agreement under Swiss law.
