In July 2024, a comprehensive amendment to the Act on Transformations of Commercial Companies and Cooperatives entered into force in the Czech Republic. The principal purpose of this legislative change was to implement Directive (EU) 2019/2121 of the European Parliament and of the Council of 27 November 2019, amending Directive (EU) 2017/1132 of 14 June 2017 on certain aspects of company law with regard to cross-border conversions, mergers, and divisions. This article provides an overview of the key changes introduced by the amendment concerning crossborder transformations involving Czech business corporations. It highlights both the measures adopted to implement the Directive 2019/2121 and additional legislative changes that go beyond the minimum requirements of Directive 2017/1132.
