The voluntary liquidation of a company, primarily aimed at safeguarding its former shareholder(s) and director(s) against personal liability claims and actions of the public prosecutor, has become a business in its own right in Germany. The author analyzes the latest GmbH law reform proposals to adequately tackle this practice, in light of BGH case law.
